Public Offer for Digital Advertising and Sponsored Content Services

These Terms & Conditions constitute a public offer and govern the purchase of digital advertising, sponsored content, and related digital services from DesignRise. By accepting an individual quote and completing payment, the Client confirms that they have read, understood, and agreed to these Terms and the applicable Refund & Cancellation Policy.

1. Service Provider
The services available through DesignRise are provided by the following Ukrainian sole proprietor (the “Service Provider,” “DesignRise,” “we,” “us,” or “our”):

2. Services
DesignRise provides digital advertising and promotional services, which may include:
- sponsored articles and sponsored editorial placements;
- mini guest posts and featured articles;
- sidebar, in-content, and homepage banner placements;
- brand mentions and other individually agreed digital advertising services.
The exact service, scope, deliverables, publication or completion date, advertising duration, content requirements, and final price are stated in an individual written quote sent to the Client before payment.
All services are delivered digitally. DesignRise does not sell or ship physical goods under these Terms, and no postal or courier delivery is used.
3. Request, Individual Quote & Agreement
- The Client submits a request through the website form or by email and provides the relevant company, website, campaign, content, and placement information.
- DesignRise reviews the request for relevance, availability, legal compliance, and editorial suitability.
- If the request is accepted, DesignRise sends the Client an individual written quote containing the exact service, deliverables, final price, payment currency, expected schedule, placement duration where applicable, and any project-specific requirements.
- The Client accepts the quote by clearly confirming acceptance in writing and completing the corresponding payment.
- The agreement becomes effective when DesignRise receives successful payment, unless the individual quote expressly states otherwise.
The accepted quote forms an integral part of the agreement between DesignRise and the Client. If a project-specific provision in the accepted quote conflicts with these general Terms, the accepted quote prevails only for that specific service.
4. Prices, Currency & Payment
Prices marked “from” on the website are starting prices. The final price may depend on the requested scope, content length, editorial or creative work, placement options, campaign duration, and other agreed requirements. The Client always receives the exact amount before payment.
Payment is made online through WayForPay using the payment methods displayed on the secure payment page, including eligible Visa and Mastercard payment cards. DesignRise does not receive or store the Client’s complete card details.
Website prices may be displayed in USD for international reference. The individual quote and WayForPay payment page show the exact payable amount and payment currency before the Client confirms payment. Payments to the Ukrainian Service Provider are credited in Ukrainian hryvnia (UAH). For cards issued in another currency, the card issuer or payment system may convert the amount and apply its own exchange rate or fees.
The Client is responsible for any bank fees, currency conversion charges, or taxes imposed on the Client in their country, except for taxes that Ukrainian law requires the Service Provider to pay.
5. Start of Work & Digital Delivery
Work begins after successful payment and after the Client has supplied all materials, information, approvals, and access reasonably required to provide the service.
The expected completion or publication date and, where relevant, the advertising placement duration are specified in the accepted quote. If the Client delays materials, feedback, approval, or other required information, the delivery schedule is extended by the resulting delay.
Delivery is completed electronically. Depending on the service, DesignRise sends the Client an email confirming publication, providing the live URL, supplying agreed digital materials, or otherwise confirming completion.
Services are available to Clients worldwide, except where a transaction, product, content, party, or jurisdiction is restricted by applicable law, payment-provider rules, sanctions, or DesignRise editorial policies.
6. Client Responsibilities
The Client represents and warrants that:
- all information supplied to DesignRise is accurate and not misleading;
- the Client has the authority to order and pay for the service;
- the Client owns or has all necessary rights and permissions for submitted text, images, trademarks, logos, links, and other materials;
- the materials and promoted products or services comply with applicable law and do not infringe intellectual property, privacy, publicity, or other third-party rights;
- the content does not contain malware, deceptive claims, unlawful products, hate speech, adult content, or other prohibited material;
- the Client will provide requested materials and approvals within a reasonable time.
The Client is responsible for substantiating advertising claims and for obtaining any disclosures, licenses, permissions, or regulatory approvals required for the promoted product, service, or campaign.
7. Editorial Review & Advertising Standards
All placements are reviewed manually. DesignRise may reject a request before payment if the website, product, topic, proposed link, or content does not meet our editorial, legal, technical, or quality standards.
DesignRise may request reasonable edits before publication. Sponsored or paid content may be clearly labeled, and paid links may use appropriate attributes such as rel="sponsored" or nofollow where appropriate. The purchase of a service does not entitle the Client to require a dofollow link or to conceal the commercial nature of a placement.
DesignRise does not guarantee search-engine rankings, indexing, referral traffic, leads, sales, conversions, or any specific business result unless an express written guarantee is included in the accepted quote.
8. Intellectual Property
The Client retains ownership of materials supplied by the Client. The Client grants DesignRise a non-exclusive, worldwide, royalty-free license to host, reproduce, edit for formatting and readability, display, and publish those materials only as reasonably necessary to provide the purchased service for the agreed period.
DesignRise retains all rights in the DesignRise website, branding, layout, systems, editorial processes, and pre-existing materials.
Ownership and permitted use of any original copy, graphics, or other custom materials created specifically for the Client will be stated in the individual quote. No transfer of intellectual property rights is implied unless it is expressly agreed in writing.
9. Cancellations, Transaction Reversal & Refunds
Cancellation requests, refund eligibility, refund calculation, transaction reversal, request procedure, and processing periods are governed by the separate Refund & Cancellation Policy, which forms part of these Terms.
If DesignRise is unable to provide a paid service for reasons attributable to DesignRise, the Client will be offered an alternative agreed solution or a refund for the undelivered service in accordance with the Refund & Cancellation Policy and applicable law.
10. Disclaimers & Limitation of Liability
DesignRise will provide the agreed service with reasonable professional care. However, online platforms, search engines, third-party tools, hosting providers, and payment systems may experience interruptions or make changes beyond our control.
To the fullest extent permitted by applicable law, DesignRise is not liable for indirect, incidental, special, or consequential loss, including loss of profit, revenue, data, reputation, rankings, or business opportunities.
To the fullest extent permitted by law, DesignRise’s aggregate liability arising from a specific service will not exceed the amount actually paid by the Client for that service. Nothing in these Terms excludes or limits rights or liability that cannot lawfully be excluded or limited.
11. Personal Data & Payment Security
DesignRise processes contact, order, correspondence, and service-delivery information as necessary to respond to requests, prepare quotes, deliver services, maintain records, and comply with legal obligations.
Payment-card processing is performed by WayForPay. DesignRise does not receive or store complete payment-card numbers or security codes.

12. Force Majeure
Neither party is liable for a delay or failure caused by circumstances reasonably beyond its control, including power or internet outages, cyberattacks, hosting failures, natural disasters, war, government restrictions, strikes, widespread service disruptions, or other force-majeure events. The affected party must notify the other party when reasonably possible. Deadlines will be extended for the period reasonably affected by the event.
13. Electronic Communications
The parties may communicate and approve service details electronically, including through email and website forms. The Client is responsible for providing a valid email address and checking messages related to the order.
English-language support is primarily provided by email. The Ukrainian telephone number listed in Section 1 is also available for contact, but an order does not require a telephone call.
14. Governing Law & Disputes
These Terms and each agreement formed under them are governed by the laws of Ukraine, without depriving a consumer of any mandatory protections that apply under the law of the consumer’s country of residence where such protections cannot lawfully be excluded.
Before commencing formal proceedings, the parties should attempt to resolve a dispute through good-faith written communication. A claim should be sent to partnership@design-rise.com with the Client’s name, payment date, service description, and a clear explanation of the issue.
If the dispute cannot be resolved amicably, it will be submitted to the competent courts in accordance with applicable law.
15. Changes to These Terms
DesignRise may update these Terms when services, payment arrangements, legal requirements, or business processes change. The current version and effective date will be published on this page. Changes do not retroactively alter a quote already accepted and paid for unless required by law or expressly agreed by both parties.
16. Acceptance of the Public Offer
By confirming an individual quote and completing payment through the provided payment link, the Client accepts this public offer and enters into an electronic agreement with the Service Provider on these Terms, the accepted quote, and the Refund & Cancellation Policy.
If the Client does not agree with these documents, the Client must not complete payment.
